This document establishes the Terms and Conditions (hereinafter, "T&C") governing access to and use of the BtMData web platform (hereinafter, "the Platform"), owned by:

2. Purpose and Scope

These T&C regulate access to and use of the BtMData platform, an infrastructure intelligence platform dedicated to the transformation of industrial and energy-rich assets into AI Infrastructure.

Access to and use of the Platform implies full and unreserved acceptance of all T&C in the version published at the time of access.

3. Services Offered

3.1. Engagement Models

BtMData provides three institutional engagement models focused on the transformation of industrial assets into AI Infrastructure:

• Opportunity Assessment™: viability assessment of an industrial or energy-rich asset for transformation into AI Infrastructure (power, grid, cooling, connectivity, regulatory fit and scalability).
• Transformation Advisory™: strategic advisory throughout the transformation of the asset into AI Infrastructure, including positioning, transformation economics, partner sourcing and structuring of the path to RTB.
• BtMData Certified™: proprietary certification methodology evaluating the asset's readiness as AI Infrastructure (energy resilience, AI scalability, sustainability and operational maturity).

Each engagement is contracted through a specific written agreement, with conditions agreed separately between the parties. Deliverables are institutional estimates and reports based on BtMData's proprietary infrastructure intelligence framework; they do not constitute binding technical advice nor guarantee the viability of any specific project.

3.2. Client Portal

Asset owners under engagement may access a private portal where the progress of their asset's transformation into AI Infrastructure is published (assessment, milestones, deliverables and engagement-related documentation).

3.3. Informational Content

The Platform includes articles, analyses and resources related to the transformation of industrial assets into AI Infrastructure. This content is informational and does not constitute professional advice.

4. User Registration and Account

Some Platform features require registration. Users agree to:

• Provide truthful, accurate and current information
• Keep credentials confidential
• Be over 18 years of age
• Accept these T&C and the Privacy Policy

Users are responsible for all activities performed from their account and must immediately notify any unauthorized use.

5. Commercial Model

BtMData operates through selective engagements with industrial asset owners, investors and infrastructure operators:

• Opportunity Assessment™: one-off engagement with fixed fee (6–10 weeks).
• Transformation Advisory™: long-term engagement under a recurring retainer.
• BtMData Certified™: one-off certification with optional annual renewal.
• Public content: open access to informational and editorial resources.

Commercial terms for each engagement are agreed in writing and on a case-by-case basis between the parties.

6. Intellectual and Industrial Property

All content on the Platform (texts, images, software, trademarks, logos, calculation models, designs, databases) is the exclusive property of SIMATAI SL or third parties who have authorized its use, and is protected by applicable intellectual and industrial property laws.

The following is expressly prohibited:

• Reproducing, distributing or publicly communicating the contents
• Reverse engineering the software or calculation models
• Sharing access credentials with third parties
• Systematically extracting or reusing data from the Platform
• Using the content for commercial purposes without express authorization

7. Acceptable Use

Users agree to:

• Make legitimate and diligent use of the Platform
• Not use the Platform for illegal purposes
• Not attempt to access restricted areas of the system
• Not introduce viruses, malware or malicious code
• Not perform actions that may damage or overload the Platform

8. Limitation of Liability

SIMATAI SL shall not be liable for:

• Investment or design decisions made based on Platform estimates
• The absolute accuracy of calculations, simulations or benchmarks provided
• Damages resulting from improper use of the Platform
• Service interruptions due to causes beyond its control
• Economic losses derived from implementation of recommendations

The Platform tools provide indicative estimates and analyses for infrastructure planning. They do not replace the professional judgment of qualified engineers, consultants or advisors.

9. Service Availability

SIMATAI SL is committed to keeping the Platform operational and accessible, although it does not guarantee absolute availability due to possible maintenance tasks, updates, technical failures or force majeure events.

10. Data Protection

The processing of personal data is governed by our Privacy Policy, available on the Platform, which complies with the General Data Protection Regulation (GDPR - EU 2016/679) and Spanish Organic Law 3/2018 on the Protection of Personal Data.

11. Data Management

Users maintain ownership of data they enter into the Platform (project configurations, simulations, results). In case of account cancellation, users may request export of their data within a 30-day period.

12. Modification of Terms

SIMATAI SL reserves the right to modify these T&C at any time. Changes will be notified to registered users at least 30 days in advance. Continued use of the Platform after notification implies acceptance of the new terms.

13. Applicable Law and Jurisdiction

These T&C are governed by Spanish law. For resolution of any controversy, the parties submit to the jurisdiction of the Courts and Tribunals of Barcelona (Spain).
